Hardware Distribution Agreement

With regard to the rules of liability and compensation, this proposal is aimed at the supplier, but it is intended to protect both parties in their basic form. The distributor is required to compensate the supplier for claims arising from the negligence of its (distribution) staff and equipment defects. Subject to the distributor`s compliance with certain reservations, the supplier undertakes to defend the distributor against any claim against intellectual property rights concerning the software that may be raised by a third party against the distributor. The software distribution contract is designed to be used in a trade-to-trade relationship in which a company (“distributor”) sells or supplies computer equipment to third parties and requires distribution software manufactured or supplied by another company (“provider”) for installation and use on that equipment. The text of this proposal provides that the distributor designation is not exclusive, but it can be adapted by additional formulations appropriate for exclusive use. Subject to your continued compliance with the terms of this Agreement, Sinefa appoints you a non-exclusive reseller of the products and you accept this order. There is nothing in this agreement that prevents (i) from appointing other dealers or distributors within the territory or territories in which you normally operate; (ii) marketing, selling or marketing products directly to end customers; or (iii) maintaining direct distribution channels for the marketing, sale and distribution of products. The reseller, without Sinefa`s prior written consent, will not market, market or sell products directly or indirectly to resellers, representatives or sales agents for resale; or (ii) to purchase products from resellers, Sinefa`s authorized distributors, agents or sales agents for resale. Essential elements of a distribution agreement include the duration (period during which the contract is in effect), delivery conditions and distribution areas covered by the agreement (regions located in the United States and/or international markets). Suppliers who use channel partners as part of their distribution network can use a one- or two-step distribution channel.
